This User Agreement constitutes a legally binding contract between you and serpuls.com governing your use of our platform, tools, and services.
This User Agreement ("Agreement") is entered into between you ("User" or "you") and Skynet360 LP. (Company No: SL027564), Suite 1, 4 Queen Street, Edinburgh, Scotland, EH2 1JE ("Company", "we", "us", or "our"). This Agreement governs your use of serpuls.com, including all associated websites, APIs, software, and services (collectively, the "Platform"). By registering for an account or using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
"Content" means any text, data, graphics, images, videos, or other materials available on the Platform. "Your Content" means any Content you submit, upload, or make available through the Platform. "SERP Data" means search engine results, rankings, and related analytical data provided by the Platform. "Subscription" means a paid plan that grants access to certain features for a specified period.
3.1. To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep this information up to date.
3.2. You are solely responsible for maintaining the confidentiality of your login credentials. Any activities that occur under your account are your responsibility. You must notify us immediately of any unauthorized use.
3.3. We reserve the right to suspend or terminate accounts that are inactive for more than 12 months, or that violate any part of this Agreement.
4.1. You may access and use the Platform in accordance with this Agreement and all applicable laws. You may not:
5.1. Certain features require payment of fees. All fees are non-refundable except as required by law or as expressly stated in our refund policy.
5.2. Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel at any time through your account settings.
5.3. We may change our fees upon 30 days' notice. Your continued use after the fee change constitutes acceptance of the new fees.
5.4. All payments are processed by secure third-party payment processors. We do not store your full payment card details.
6.1. The Platform, including its software, design, text, graphics, and all SERP Data (excluding Your Content), is the exclusive property of Skynet360 LP. or its licensors and is protected by copyright, trademark, and other intellectual property laws.
6.2. You retain all rights to Your Content. By submitting Your Content, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, and display Your Content solely for the purpose of providing and improving the Platform.
6.3. You represent and warrant that Your Content does not violate any third-party rights, including copyright, trademark, or privacy rights.
Our Privacy Policy and Cookies Policy explain how we collect, use, and protect your personal information. By using the Platform, you consent to the data practices described in those policies.

The Platform may contain links to third-party websites, services, or advertisements. We do not endorse and are not responsible for the content or practices of any third parties. Your interactions with such third parties are solely between you and them.
10.1. We may suspend or terminate your access to the Platform immediately, without prior notice, for any reason, including if you breach this Agreement.
10.2. Upon termination, your right to use the Platform ceases, and we may delete Your Content, except where retention is required by law.
10.3. You may terminate this Agreement at any time by deleting your account and ceasing use of the Platform.
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. SERP DATA IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS THE SOLE BASIS FOR BUSINESS DECISIONS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SKYNET360 LP., ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR USE OR INABILITY TO USE THE PLATFORM; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT; OR (IV) ANY OTHER MATTER RELATING TO THE PLATFORM. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100).
You agree to indemnify, defend, and hold harmless Skynet360 LP., its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from (i) your use of the Platform; (ii) your violation of this Agreement; (iii) Your Content; or (iv) your violation of any rights of a third party.
We reserve the right to modify this Agreement at any time. If we make material changes, we will provide notice through the Platform or by other reasonable means. Your continued use of the Platform after such notice constitutes your acceptance of the modified terms.
15.1. This Agreement and any dispute arising out of or relating to it shall be governed by the laws of Scotland, without regard to its conflict of laws principles.
15.2. Any dispute, controversy, or claim arising out of or in connection with this Agreement shall be resolved exclusively in the courts of Edinburgh, Scotland. You irrevocably consent to the personal jurisdiction of such courts.
15.3. Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any jurisdiction to protect our intellectual property rights or confidential information.
This Agreement, together with our Privacy Policy and any other terms expressly incorporated by reference, constitutes the entire agreement between you and Skynet360 LP. regarding the use of the Platform. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
